Your Relationship With Us
We’ve drafted these Terms of Service (the “Terms”) so you’ll know the rules that govern our relationship with you as a user of Cavi (the “Service”), which is provided by PH7 Ltd. in the United States (collectively such entities will be referred to as “we”, “us” or “our”). These Terms form a legally binding agreement between you and us.
Eligibility and Age Requirements
To use the Service, you must meet the following criteria:

Student Status: You must be a student at an accredited university with a valid .edu email address

Minimum Age: You must be at least 18 years of age to use the Service in any capacity. The Service is not intended for, and may not be used by, anyone under the age of 18

Account Registration: By registering for an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this binding agreement

Rider Requirements: Only users who are registered and verified members of Cavi are permitted to participate in a ride.

Driver Requirements: To register as a Driver, you must provide additional vehicle information, including your vehicle make, model, and license plate number.
2. Purpose of Use
The Service is a peer-to-peer community platform designed exclusively for university students. Its primary purposes are:

Community Building: To facilitate social connections and friendships among students from the same university through shared travel.

Vibe-Based Matching: To allow users to match based on shared interests, moods, or "Vibes" to create an enjoyable social experience.

Non-Commercial Peer Support: To provide a voluntary platform where student drivers can assist student riders without the intent of commercial gain or professional transportation services.

3. Accepting the Terms
By using any part of the Service—including browsing ride requests, viewing student profiles, or setting destination preferences—you confirm that you accept and agree to comply with these Terms and our Privacy Policy. We will treat any interaction with the Service as your legally binding acceptance of these Terms upon your first access to the Service.

4. Changes to the Terms
We amend the Terms from time to time as needed. If You continue to use the Services after the date of the new Terms, you accept the new Terms. If you do not agree to the new Terms, you must stop using the Services.

5. Data Protection and Privacy
Our Privacy Policy describes what information you share with us, when it is shared, and how we handle it when you use the Services.
By using the Services you understand and consent that we must collect, use, store, process, share, and transfer this information—including your precise location and vehicle information—to countries where we operate the Services and to partners who help us provide the Services.

6. Content
6.1 Responsibility and Ownership
You are responsible for the Content—including profile photos, messages, destinations, "Vibe" tags, and vehicle information—you share through the Service. You must ensure that you have the right to use the Content and that it complies with all applicable laws, regulations, and these Terms.
6.2. Mutual Evaluation and Ratings
After a ride, you may provide feedback through the App, such as tags or comments. You agree that:

Visibility: Your feedback and "Tags" may be shared with the other user and displayed within the Service to help the community make informed matching decisions.

Mutual Feedback: By using the Service, you acknowledge that you may also be evaluated by other users (e.g., a Driver rating a Rider).

Service Improvement: We may use this feedback data to improve the Service, maintain safety, and investigate potential conduct violations.
6.3 Removal of Content
You own the Content you share and grant us a non-exclusive, royalty-free license to use, store, and display it to provide the Service. We reserve the right to remove any Content that we determine, in our sole discretion, breaches our community guidelines or legal obligations.

7. Respecting our Rights
As between you and us, PH7 Ltd. is the owner of all rights in the Service, including related brands, logos, software, and proprietary technology. You must respect these rights at all times.
Your right to use the Service is conditional upon your compliance with these Terms. We reserve the right to terminate or suspend your account if you misuse our technology or infringe upon our intellectual property.

8. Respecting Others' Rights
We require all users to respect the privacy and intellectual property of the Cavi community. You may not use the Service in a manner that infringes upon anyone else’s rights of publicity, privacy, or intellectual property.
Specifically, you agree to adhere to the behavioral standards, privacy protections, and non-discrimination policies detailed in Section 9 (Prohibited Actions and Conduct).
We honor copyright laws, including the Digital Millennium Copyright Act (DMCA). We will take reasonable steps to expeditiously remove infringing material and may suspend or terminate accounts of users who repeatedly infringe the copyrights of others.

9. Prohibited Actions and Conduct
You agree that you will not, and will not attempt to, or enable others to, engage in any of the following prohibited activities while using the Service. Any use of the Service that does not align with the Purpose of Use (Section 2) is strictly prohibited.
9.1. Safety and Road Conduct

Unsafe Operation: Operating a vehicle in a manner that endangers yourself or others, including speeding, failing to yield the right-of-way, or failing to obey traffic signals.

Impaired Driving: Operating a vehicle while under the influence of alcohol, drugs (including prescription or over-the-counter medications that cause drowsiness), or while fatigued. We maintain a zero-tolerance policy for drug and alcohol use during a ride.

Distracted Driving: Engaging in activities that take your eyes or mind off the road, such as holding a phone or texting while the vehicle is in motion.

Unsafe Pick-up/Drop-off: Stopping in prohibited areas such as bus lanes, bike lanes, taxi zones, or crosswalks for pick-ups or drop-offs.

Unaccompanied Minors: Transporting any person under the age of 18 who is not accompanied by an adult. All users of the Service must be at least 18 years old.

Unauthorized Passengers: You are strictly prohibited from bringing, or allowing to enter the vehicle, any third party who is not a registered and verified user of the Service during a ride. Both Drivers and Riders are responsible for ensuring that only the matched individuals participate in the Cavi session.

Street Hailing: Picking up any person who has not pre-arranged a ride through the Cavi platform. All rides must be pre-arranged via the App.
9.2. Anti-Harassment and Sexual Misconduct
We have zero tolerance for sexual harassment or misconduct. Prohibited conduct includes, but is not limited to:

Non-Physical Misconduct: Staring, leering, asking overly personal questions about relationship status or orientation, making comments about appearance, or suggestive flirting.

Physical Misconduct: Any non-consensual touching or kissing of any body part, or any attempted or actual sexual penetration.

Sexual Contact: Engaging in any sexual contact or activity while using the platform, regardless of whether the parties involved know each other or give consent.
9.3. Non-Discrimination and Service Animals

Discriminatory Conduct: Refusing to provide or accept a ride based on a user’s race, religion, national origin, disability, sexual orientation, sex, marital status, gender identity, or age.

Service Animals: Refusing to accommodate a service animal. Under California law, allergies or a fear of animals are not valid reasons to deny a service animal entry to your vehicle.
9.4. Technical and Account Integrity

Commercial Misuse: You may not use the Service for any commercial or for-profit purposes, including but not limited to operating an unauthorized taxi or delivery service, or using the platform for commercial solicitation. The Service is a non-commercial community platform.

Credential Sharing: Sharing your personal login information with any other person. Only the registered account holder may use the Service.

Account Fraud: Creating a new account if we have already deactivated your account or attempting to use another user’s account without authorization.

Reverse Engineering: Attempting to derive source code or modify any portion of the Service.
9.5. Intellectual Property and Brand

Infringement: Violating the copyrights, trademarks, or intellectual property rights of PH7 Ltd. or any third party.

Brand Misuse: Using Cavi branding, logos, or UI elements without express written permission.
Reporting Misconduct
If you witness or are subject to any of the prohibited conduct listed in this Section 9, you should report the incident immediately through the App. To submit a report, navigate to the relevant user’s Profile screen and tap “Report.” This will notify our team to initiate an investigation and take appropriate action.
10. Service Interaction and Cancellations
Cavi is a voluntary, peer-to-peer community platform designed to facilitate connections between students. To ensure a safe and comfortable environment for everyone, both Drivers and Riders retain full autonomy over their participation in any specific ride.

Right to Refuse or Cancel: You have the right to decline a ride request or cancel a matched ride at any time for any non-discriminatory reason

Safety-Based Refusal: We encourage you to refuse or cancel a ride if you feel uncomfortable or if the other user’s behavior, vehicle condition, or requested route appears unsafe

No Guarantee of Service: Because the Service relies on individual student availability, we do not warrant or guarantee that ride requests will be accepted or that a matched ride will be completed

Cancellation Policy: While you have the right to cancel, repeat or bad-faith cancellations may be investigated as a violation of our community standards and could lead to account suspension
11. Ending the Services
We may temporarily or permanently suspend your account and prevent your use of the Services if we have determined that you have shared Violative Content or used the Services in a way that violates another person’s rights, or does not comply with laws or these Terms. This includes, but is not limited to, reports of unsafe driving, harassment, or non-compliance with our community guidelines during a ride.
You may appeal a suspension by contacting us through our support form. We aim to review and respond to safety-related reports within 12 hours.
We may temporarily suspend your account in the event that we detect abnormal activity—including safety or security risks reported by other users—that could present technical or security risks or which may violate community guidelines to you, other users or the Services. We will delete your account if it is inactive for more than 2 years. Before we do, we will let you know so that you can stop the deletion if you want.
12. Limitation of Liability
By using the Services you agree that for us, our affiliates, related companies, officers, directors, employees, agents representatives, partners and licensors, liability is limited to the maximum extent permissible in your country of residence.
Cavi is a peer-to-peer platform and does not provide transportation services. We are not a motor carrier or a transportation network company. You acknowledge that we do not perform background checks or vehicle inspections. We are not responsible or liable for the conduct of any user, including any personal injury, death, property damage, or other loss resulting from a ride matched through the Service.
To the maximum extent permitted by law, you release us from all claims and liability related to your interactions with other users. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

13. Third Party Services
The Service may contain services, software, or content provided by third parties other than PH7 Ltd., including mapping data, location services, and authentication tools. Such third parties shall bear any and all responsibility regarding such services and/or content. Your use of these third-party services may be subject to additional terms and conditions provided by those third parties (such as Google Maps Terms of Service). We are not responsible for the availability or accuracy of such third-party services.

14. Indemnity
You agree, to the extent permitted by law, to defend, indemnify, and hold harmless us, our parents, subsidiaries, affiliates, officers, directors, employees, agents, and advisors from any demands, debts, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

Your access to or use of the Service

Your conduct in connection with any ride or interaction with other users, including any claims for personal injury, death, or property damage

Your violation of these Terms or any applicable law or regulation

Any content you provide, including the accuracy of your vehicle or destination information
15. Disclaimers
The services are provided “as is” and “as available” and we make no warranty or representation to you with respect to them. No conditions, warranties or other terms apply to the services except to the extent that they are expressly set out in the terms.
Specifically, we do not warrant or guarantee:

The safety, reliability, or quality of any transportation or rides shared through the Service

The identity, background, or suitability of any Driver or Rider

The condition, safety, or legal compliance of any vehicle used in connection with the Service

That the Service will be uninterrupted or error-free
We may change, suspend, withdraw or restrict the availability of all or any part of our platform for business and operational reasons at any time without notice.

16. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

You and PH7 Ltd. agree that any judicial proceeding to resolve claims relating to these Terms or the Service will be brought in the federal or state courts located in San Francisco, California. You and PH7 Ltd. both consent to venue and personal jurisdiction in such courts.

17. Class Action Waiver
To the fullest extent allowed by applicable law, you and we agree that each party may bring disputes against the other party only in an individual capacity, and not as a class action, collective action or class arbitration, or as a private attorney general.

18. Miscellaneous
If any provision of these Terms is held to be invalid or unenforceable, that provision will be deemed to be restated to reflect as nearly as possible the original intention in accordance with applicable law, and the remainder of the Terms will remain in full force and effect.
The Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Nothing in the foregoing sentence shall exclude or restrict the liability of you arising out of fraud or fraudulent misrepresentation.
Any waiver of any provision of the Terms will be effective only if in writing and signed by us. The failure of the party to assert any right under these Terms shall not be considered a waiver of that party’s right. The Terms, including our enforcement of those policies, are not intended to confer, and do not confer, any rights or remedies upon any person.
The original English version of these Terms may have been translated into other languages. In the event of inconsistency or discrepancy between the English version and any other language version, the English language version shall prevail.
You are not allowed to assign the Terms or any rights hereunder. We are allowed at our sole discretion to assign the Terms or any rights hereunder to any third party, without giving prior notice to you.
